28 Aug Confirmation Statement filing extension
The Corporate Insolvency and Governance Bill received royal assent on 25 June 2020 and the corporate governance measures introduced temporary easements and flexibility to assist businesses who are coping with reduced resources and restrictions.
As a result, the deadline for filing a confirmation statement (the statement delivered to Companies House confirming certain changes, including to the company’s share capital and details of its shareholders) has been extended from 14 days to 42 days from the end of the company’s made up date. This measure will reduce pressure on companies that are currently struggling to meet their filing deadlines allowing them to focus their resources on keeping their businesses going in this uncertain time but ensuring that the data is filed with Companies House within a reasonable time.
It is an automatic extension but this is a temporary measure, and the filing deadline extension will not apply where the made up date falls on or after 6 April 2021.
You can check your new filing deadline on the Companies House website; however, Elemental is aware that correspondence being sent out by Companies House to companies reminding them of their filing deadlines have not been updated and are still advising them that they must file within 14 days. This is confusing for companies who are already finding it difficult to keep up with their filing requirements, at a time when there is a lot of change. It is a particularly challenging time for businesses right across the UK and it is good to see that the Government and Companies House are showing understanding but are they doing all they can to support companies through this period?
